BiRDS Pharma AG is actively seeking investors to push its own drug development projects to a later stage that allows for partnering with the pharmaceutical industry. To investors who are interested to invest in one or more of BiRDS Pharma AG´s drug development projects, two investment models based on shareholding are proposed: Investment could either be directly into BiRDS Pharma AG or alternatively into one or more affiliate project companies, that provide financing vehicles for individual projects. Whereas investment into BiRDS Pharma AG offers to investors the advantage to participate to the whole value creation by the company and at the same time reduces risk of investment due to the balanced project portfolio, specific investment into one project company offers the advantage of a focussed investment into on specific preferred project. An example for an affiliate project company within BDD/CCDRD Group is OSSOGEN Biopharm GmbH, which is entirely dedicated to the development of parathyroid hormone (PTH) for postmenopausal osteoporosis and makes use of BiRDS Pharma AG´s service for management of drug development as a client. According to the preferences of investors, similar project companies can be founded for BiRDS Pharma AG´s projects based on AST. Each investment from financial investors (or development partners) will typically be based on shareholding to avoid conflicts of interest and to assure returns based on contribution. Here, for example, an investment into BiRDS Pharma AG will at the same time lead to shareholding in the project companies according to the contributions of BiRDS Pharma AG to the development of each respective project. Alternatively, investments into individual projects will be translated into shares in the project companies. Returns to investors and development partners are expected from partnering or sale of the projects or by an initial public offering (IPO) of BiRDS Pharma AG or one or more of the project companies. |
